MEMORANDUM FOR

IMPERIAL JAPANESE GOVERNMENT.

THROUGH

Central Liaison Office, Tokyo.

Subject

Establishment of a Schedule of Restricted Concerns.

1. Reference is made to Memorandum this Headquarters, AG 004 (31 Oct 45) ESS, subject: Sale or Transfer of Securities of Certain Business Firms and to Central Liaison Office Memorandum No LO 24, dated 29 November 1945 same subject.
2. It will be considered a sufficient compliance with the terms of the reference memorandum of this Headquarters if the action directed there-in is applied to the capital stocks, bonds, debentures, voting trusts or other forms of capital securities issued by the holding companies and subsidiaries listed on the inclosure attached hereto. This list hereafter will be referred to as the “Schedule of Restricted Concerns.”
3. a. Sales, trades, pledges or other forms of transfers will be exempted from the requirements of the reference memorandum if both of the following exist:
(1) Neither the beneficial owner nor the record owner of the securities desired to be transferred or otherwise dealt in owns or controls directly or indirectly more than 1% of the outstanding securities of the issue of which his securities are a part.
(2) The person by whom or on whose behalf the securities are to be acquired does not, and will not by such acquisition, own or control directly or indirectly more than 1% of the securities of the issue proposed to be acquired.
b. In computing the holdings of any person, the combined holdings of his immediate family shall be considered as his holdings.
c. For the purposes of the reference memorandum the following will not be considered as a “sale, trade or other transfer adjustment” and are therefore exempted from its provisions:
(1) The redemption of bonds and debentures at their due dates.
(2) The calling or purchase of debentures in fixed amounts in accordance with the schedule included in the indebenture published at the time of issue.
