Article 1. The Fisheries Cooperative Association Law (Law No.242 of 1948) shall be partially amended as follows:
In Article 7 paragraph 1 item (1), "not less than" shall be amended as "more than" ;and in sub-item d. Fixed-ned fisheries in the Table of the same item, "50 fisheries employees" shall be amended as "100 fisheries employees" ;and in item (2) of the same paragraph, "more than 10 fisheries employees" shall be amended as "more than 20 fisheries employees" .
In the proviso to Article 11 paragraph 3, "non-members" shall be amended as "non-members as well as non-members of other Associations" ;and "its members" shall be amended as "its members as well as members of other Associations" .
Article 18 paragraph 3 shall be amended as follows:
3 In addition to those prescribed in the preceding two paragraphs, any Association may, in accordance with the provisions of the Articles of Incorporation, deem that the following persons have the qualification to be its membership:
(1) Marine products processors having their residence or operation places within the area of the Association, who are not members of any Marine Products Processing Cooperative Association;
(2) Fishermen's Production Association;
(3) Fishermen other than those as prescribed in paragraph 1 or the preceding paragraph;
(4) Juridical persons (excluding Fishermen's Cooperative Association and Fishermen's Production Association) having their residence or operation places within the area of the Association and operating fisheries, who usually employ workers not exceeding 300 in number and use fishing boats not exceeding 300 tons in total.
To Article 21 paragraph 4, the following proviso shall be added:
However, with regard to any Association whose principal membership is composed of those who engage in gathering, taking or culturing aquatic animals and plants in rivers and whose members (excluding associate members) exceed one thousand persons, a proxy may represent its members not exceeding two in number.
In Article 24 paragraph 1, "one year" shall be amended "two years" .
Next to Article 34 paragraph 7, the following one paragraph shall be added:
8. In case of any Association other than those Associations whose principal membership is composed of those who engage in gathering, taking or culturing aquatic animals and plants in the inland waters as prescribed in Article 127 of the Fisheries Law (Law No.267 of 1949), the members or fishermen mentioned in the preceding paragraph shall be persons who operate or engage in the fisheries for over ninety days in a year.
In the proviso to Article 35 paragraph 1, "two years" shall be amended as "three years" .
Next to Article 36, the following one Article shall be added:
(Prohibition of Assumption of Office of Officers, etc. by Persons interested in Competitive Business)
Article 36-(2). Any person who carries on business which is in substantial competition with that of the Association (excluding the fisheries operated or engaged in by members of the Association concerned and business carried on by any Federation of Fishermen's Cooperative Associations to which the Association belongs) or any person who engages in such business (including any officer or personnel of juridical persons or other organizations who carry on business concerned) shall neither be a director, auditor, councillor nor chief accountant of the Association.
In Article 43 paragraph 1, next to "a balance sheet" , "profit and loss account" shall be added.
In Article 48 paragraph 1 item (6), next to "balance sheet" , "profit and loss account" shall be added.
In Article 52 paragraph 1, "200 voting members" shall be amended as "100 voting members" and paragraph 3 of the same Article shall be amended as follows:
3. Minimum number of the representatives shall be one-fourth of the voting members (excluding associate members). However, in case of an Association whose members (excluding associate members) exceed 200 persons, minimum number of the representatives may be 50 persons.
Next to Article 52 paragraph 5, the following two paragraphs shall be added:
6. With regard to the matters already decided at a meeting of representatives, another resolution may be made at a general meeting of the members which are held under the provisions of Articles 38 and 39 within three months from the day on which such resolution was adopted at the meeting of representatives;
in this case, if the general meeting resolves different from the meeting of representatives, the resolution of the general meeting shall surpass that of representatives thereafter.
7. The Association shall hold an ordinary general meeting of the members under the provision of Article 38 though it has the meeting of representatives under the provision of paragraph 1.
In Article 70 paragraph 2, next to "the clause proper of Article 34 paragraph 7" , "and paragraph 8" shall be added.
In Article 86 paragraph 2, "Articles 33 to 41 inclusive" shall be amended as "Article 33, Article 34 paragraphs 1 to 7 inclusive, Articles 35 to 41 inclusive" ;and in paragraph 4 of the same Article, "Article 34 paragraph 7" shall be amended as "the Clause proper of Article 34 paragraph 7" .
In Article 87 paragraph 1 item (8), "its member Associations which are juridical persons" shall be amended as "its member Associations" ;and in the proviso to paragraph 3 of the same Article, "non-constituent members" shall be amended as "non-constituent members as well as non-constituent members of other Federations" ;and "the constituent members as shall amended as" the constituent members as well as the constituent members of other Federations".
In Article 92 paragraph 3, the following shall be added to the end; "in paragraph 8 of the same Article, 'members or fishermen'shall read'constituent members;in Article 36-(2)'(excluding the fisheries operated or engaged in by members of the Association and the functions carried on by any Federation of Fishermen's Cooperative Associations to which the Association belongs)'shall read (excluding the functions carried on by any Association and Federation which is a constituent member of the Federation and any Federation to which the Federation belongs)';and in Article 34 paragraph 8 which applies with the necessary modifications in Article 70 paragraph 2'members or fishermen'shall read'member Associations'" .
In Article 94 the following one paragraph shall be added:
2. In addition to those as prescribed in the preceding paragraph, any Association may, in accordance with the provisions of the Articles of Incorporation, deem the juridical persons having their residence or operation places within the area of the Association and operating marine products processing with a constant employment of persons not exceeding 40 in number as having the qualification to be its membership.
In Article 96 paragraph 2, "Article 20, and The clause proper of Article 21 paragraph 1, paragraphs 2 to 5 inclusive of the same Article, and Article 22" shall be amended as "and Article 20" ;and the following one clause shall be added at the end of the same paragraph:
In this case, in the proviso to Article 21 paragraph 1, "Article 18 paragraph 3" shall read "Article 94 paragraph 2" ;and "in this Chapter and Chapter IV" shall read "in each provision which applies mutatis mutandis in Article 96" .
In paragraph 3 of the same Article, "Articles 32 to 58 inclusive" shall be amended as "Article 32, Article 33, Article 34 paragraphs 1 to 7 inclusive and Articles 35 to 58 inclusive" , and the following one clause shall be added at the end of the same paragraph:
In this case, in Article 36-(2), "fisheries" shall read "marine products processing" ;and "Federation of Fishermen's Cooperative Associations" shall read "Federation of Marine Products Processing Cooperative Associations" .
In paragraph 5 of the same Article the following shall be added to the end; "in Article 70 paragraph 2'the clause proper of Article 34 paragraph 7 and paragraph 8'shall read'the clause proper of Article 34 paragraph 7'" .
In Article 97 paragraph 1 item (7), "its member associations which are juridical persons" shall be amended as "its member associations" .
In Article 100 paragraph 3, "Articles 32 to 47 inclusive" shall be amended as "Article 32, Article 33, Article 34 paragraphs 1 to 7 inclusive and Articles 35 to 47 inclusive" and the following shall be added to the end;and "in Article 36-(2), '(excluding the fisheries operated or engaged in by members of the Association and the functions carried on by any Federation of Fishermen's Cooperative Associations to which the Association belongs)'shall read'(excluding the marine products processing operated by constituent members of the Federation and the functions carried on by any Association or Federation which is a constituent member of said Federation and any Federation to which said Federation belongs)'" ;in paragraph 5 of the same Article, the following shall be added to the end; "in paragraph 2 of the same Article'the clause proper of Article 34 paragraph 7 and paragraph 8'shall read'the clause proper of Article 34 paragraph 7, and applies with the necessary modifications in the same paragraph'" .
In Article 130 item (3), "paragraph 2" shall be amended as paragraph 3".
