Application for Removal of Japan Carbon Company, Ltd., (Nippon Carbon K. K.), from the Schedule of Restricted Concerns

1. References are the following Memoranda:
a. Central Liaison Office Memorandum No. 4296 (LO 1147/552) 28 August 1946, subject: “Joint Application of Japan Carbon Co., Ltd. and Kawasaki Heavy Industries, Ltd. for Release of the Former from Schedule of Restricted Concerns”;
b. Memorandum for Imperial Japanese Government from General Headquarters, Supreme Commander for the Allied Powers, AG 004 (8 Dec 45) ESS/AC, 8 December 1945, (SCAPIN-403), subject: “Establishment of a Schedule of Restricted Concerns”;
c. Memorandum for the Imperial Japanese Government from General Headquarters, Supreme Commander for the Allied Powers, AG 004 (7 May 46) ESS/AC, 7 May 1946, (SCAPIN-931), subject: ‘‘Addition of Subsidiaries of Kawasaki Heavy Industries, Ltd., to Schedule of Restricted Concerns.”
2. Reference Memorandum 1a, above, forwards joint application of Japan Carbon Company, Ltd., and Kawasaki Heavy Industries Ltd., for removal of the former from the Schedule of Restricted Concerns established by reference Memorandum 1b, above, to which it was added by reference Memorandum 1c, above.
3. Japan Carbon Company, Ltd., is hereby removed from the Schedule of Restricted Concerns and the additions thereto referred to in subparagraph 1b and c, above, respectively.

1. CLO Memorandum No. 4296 (LO 1147/552), 28 August 1946, forwards joint application of Kawasaki Heavy Industries, Ltd., and its subsidiary the Japan Carbon Company, Ltd., for removal of the latter from the Schedule of Restricted Concerns established by SCAP Memorandum AG 004 (8 Dec 45) ESS/AC (SCAPIN-403), subject: "Establishment of a Schedule of Restricted Concerns.
2. a. Prior to the time Japan Carbon Company, Ltd., was placed on the Schedule of Restricted Concerns, on 7 May 1946, Kawasaki Heavy Industries, Ltd. had reported that it owned 16.6% of the stock of Japan Carbon Company, Ltd. It has now been determined that such information was erroneous and that Kawasaki Heavy Industries, Ltd. in fact owns only 8.3% of the stock of Japan Carbon Company, Ltd. Such being the case, the latter Company is not considered a subsidiary as defined by paragraph 2 of Inclosure 1 to SCAP Memorandum AG 319.1 (22 Oct 45) ESS/IE (SCAPIN-177), subject: "Reports to be Made by Certain Business Firms."
b. The Japan Carbon Company, Ltd., does not maintain a monopolistic position within the industry. Its four (4) main products, in the order of importance, and yearly potential production are as follows:

Each of the above products is manufactured by ten (10) to twenty-five (25) other companies in Japan.
c. The largest single shareholder in the Japan Carbon Company is the Wartime Finance Bank, (a closed institution), owning seventeen (17) percent of the stock. Next is Kawasaki Heavy Industries, Ltd. There is no Zaibatsu control through stock ownership.
d. The attached Memorandum removes the Japan Carbon Company, Ltd., from the Schedule of Restricted Concerns.
3. This is an administrative matter, and no surveillance by the Eighth Army is required.
4. The interests of USAFIK are not concerned.
5. Concurrences: ESS/IN (Mr. G. T. Walker); ESS/IE (Mr. H. T. Straitiff).
