1. Reference is made to the following Memoranda for the Imperial Japanese Government from General Headquarters, Supreme Commander for the Allied Powers:

2. The Imperial Japanese Government will take immediate action to assure that Riken Institute of Physical and Chemical Research shall comply with the provisions of and make reports required by reference Memoranda listed in paragraph 1, above. Wherever reference is made in inclosure 1 and inclosure 2 to Memorandum referred to in subparagraph 1a, above, to the year 1944 it shall be amended to read 1946.
3. No requirement of this Memorandum shall be construed as placing Riken Institute of Physical and Chemical Research on the Schedule of Restricted Concerns referred to in subparagraph 1c, above.

1. Pursuant to the policy set forth in JCS Directive 1380/15, dated 3 November 1945, investigations are being made of concerns which are not listed on inclosure to SCAP Memorandum AG 004 (8 Dec 45) ESS/AC (SCAPIN-403), subject: "Establishment of a Schedule of Restricted Concerns." or subsequent additions thereto.
2. a. An investigation was made of Riken Institute of Physical and Chemical Research to determine whether it should be classed as a holding company and placed on the Schedule of Restricted Concerns; the following information was disclosed:
(1) It owned stock in thirty-six (36) subsidiary companies. The percentage of stock ownership was in excess of ten (10) percent in twenty-five (25) of these companies; however, many of these subsidiaries had already been placed on the Schedule of Restricted Concerns as subsidiaries of Riken Industrial Corporation, Ltd.
b. At that time it was believed that placing the Institute on the Schedule of Restricted Concerns would seriously jeopardize its future possibilities for obtaining public subscriptions to maintain its scientific research. Hence, it was not placed on the Schedule of Restricted Concerns at that time.
3. During the last three (3) months, discussions have been carried on with members of the Institute and its main creditors, Yasuda Bank, Ltd., and Wartime Finance Bank. On 9 July 1946 a plan of reorganization, the principles of which were advanced by this Division, was accepted by both the Institute and the Banks.
4. In order that this Division may supervise the reorganization of the Institute by requiring it to submit its plan for prior approval of SCAP, and to protect it from arbitrary or discriminatory action by the Banks during the period of reorganization, it is deemed necessary that some form of surveillance be established. It is concluded, therefore, that SCAP's surveillance devices should be applied, namely, limitation of its activities of and requiring of certain reports from Riken Institute of Physical and Chemical Research.
5. The interests of USAFIK are not concerned.
6. This is an administrative matter and no surveillance by the Eighth Army is required.
