I hereby promulgate the Law concerning Restriction, etc. of Transfer of Shares of "Kabushiki-Kaisha" and "Yugen-Kaisha" whose Object is to Issue Daily Newspapers. (Restriction, etc. of Transfer of Shares) Article 1. A "kabushiki-kaisha" whose object is to issue a daily newspaper with a fixed title in which matters relating to current events are published may restrict the transfer of shares to a person who is related with the enterprise of the "kabushiki-kaisha" and who is approved by the board of directors thereof, notwithstanding the provisions of Article 204 of the Commercial Code (Law No.48 of 1899). 2 The restriction of the transfer of shares in accordance with the provisions of the preceding paragraph shall be fixed by the Articles of Incorporation.

(Application Form and Share Certificate) Article 2. The provisions of the Articles of Incorporation mentioned in paragraph 2 of the preceding Article shall be stated in the application form and the share certificates. 2 If promoters, directors, representatives of a foreign company or the acting directors mentioned in Article 258 paragraph 2 or Article 270 paragraph 1 of the Commercial Code have failed to state the provisions of the Articles of Incorporation mentioned in paragraph 2 of the preceding Article in the application form or the share certificates, or made untrue statements as to the provisions thereof, they shall be liable to an administrative penalty not exceeding three hundred thousand yen.

(Alteration of Articles of Incorporation) Article 3. If the "kabushiki-kaisha" mentioned in Article 1 paragraph 1 has abolished, or has ceased or intends to cease for not less than one hundred days, the issue of the daily newspaper mentioned in the same paragraph, it shall immediately delete the provisions concerning the restriction of the transfer of shares under the provision of paragraph 2 of the same Article, with the alteration of the Articles of Incorporation.

(Registration) Article 4. In respect of the registration of the incorporation of the "kabushiki-kaisha" mentioned in Article 1, the provisions of Articles of Incorporation mentioned in paragraph 2 of the same Article shall also be registered.

(Application with Necessary Modifications to "Yugen-Kaisha" ) Article 5. The provisions of Articles 1, 3 and the preceding Article shall apply with the necessary modifications to the transfer of shares of a "yugen-kaisha" whose object is to issue a daily newspaper with a fixed title in which matters relating to current events are published.

Supplementary Provisions: (Date of Enforcement) 1 This Law shall come into force as from July 1, 1951. (Transitional Provision) 2 In respect of the "kabushiki-kaisha" mentioned in Article 1, or the "yugen-kaisha" in Article 5, if the provisions of Articles of Incorporation providing the restriction of the transfer of shares, the statement of such provisions in the application form and the share certificates and the registration of such provisions have been made at the time of the enforcement of this Law, such provisions, statement and registration shall be deemed to have been made in accordance with the provisions of this Law.
